IMAGINUITY® CHATBOT TERMS OF SERVICE

These Chatbot Terms of Service (“Chatbot Terms”) govern your use of the conversational artificial intelligence functionality available on imaginuity.com and any related channels we operate that link to or present these Chatbot Terms (collectively, the “Chatbot”). These Chatbot Terms are in addition to Imaginuity’s Website Terms & Conditions and are hereby incorporated by reference; if a conflict arises, these Chatbot Terms apply to your use of the Chatbot, and the Website Terms & Conditions apply to the rest of the site. By accessing or using the Chatbot, you agree to these Chatbot Terms and to our Privacy & Cookies Policy, which also applies to your Chatbot interactions. If you do not agree, do not use the Chatbot. (Imaginuity)

1) Who we are & what the Chatbot does

The Chatbot is operated by Imaginuity (“we,” “our,” or “us”). It is designed to provide convenient, automated answers about our company (e.g., who we are, our services, careers, case studies, news, and how to contact us). It is not a channel for legal, financial, medical, safety‑critical, or other professional advice, nor is it a substitute for speaking with an Imaginuity representative.

2) Eligibility; your responsibilities

  • You must be 18 years of age or older, or use the Chatbot only with the consent and supervision of a parent or legal guardian who accepts these Chatbot Terms on your behalf.
  • You agree to use the Chatbot only for lawful purposes and in a way that is respectful and appropriate for a business environment.
  • Do not submit confidential, proprietary, or sensitive personal information (e.g., Social Security numbers, financial account details, health information). If you are a current or prospective client, use the channels specified in your agreement or our Contact page for any sensitive matters.

3) Privacy & cookies

Your use of the Chatbot is subject to our Privacy & Cookies Policy. Among other things, we may process Chatbot interactions (inputs, outputs, feedback, and technical logs) to provide, secure, and improve the Chatbot and related site experiences, and to comply with law. Details about the information we collect, how we use it, and your choices (including cookie controls) are set out in our Privacy & Cookies Policy. 4) Your inputs and our outputs

  • Your Inputs. You are responsible for the content you submit to the Chatbot (“Inputs”), including ensuring that your Inputs do not infringe, misappropriate, or violate any law or third‑party rights.
  • AI‑Generated Outputs. The Chatbot may generate content (“Outputs”) that could be incomplete, outdated, or inaccurate. Treat Outputs as informational only and verify them before relying on them. You understand that outputs may not reflect the views of Imaginuity and do not constitute statements of fact, endorsements, or promises about our services.

5) Acceptable use

You agree not to:

  1. Post or transmit unlawful, defamatory, harassing, hateful, discriminatory, sexually explicit, or otherwise objectionable content.
  2. Use the Chatbot to spam, phish, deceive, or engage in fraud.
  3. Attempt to reverse engineer, copy, scrape, or extract source code, models, or systems behind the Chatbot; probe, scan, or test vulnerabilities; or circumvent technical protections.
  4. Upload malicious code or otherwise disrupt, degrade, or interfere with the Chatbot or associated systems.
  5. Use the Chatbot for high‑risk activities where errors could result in death, personal injury, or significant property or environmental damage.
  6. Misrepresent your identity or affiliation with Imaginuity.
  7. Use the Chatbot in a way that violates applicable law, third‑party rights, or these Chatbot Terms.

We may monitor use for abuse, and we may rate‑limit, suspend, or terminate access at our discretion.

6) Third‑party services & model providers

The Chatbot may rely on third‑party hosting, natural‑language processing, analytics, and content‑moderation providers. Your use of the Chatbot may therefore involve the processing and storage of Inputs and Outputs by such providers on our behalf, including in the United States and other jurisdictions, subject to our Privacy & Cookies Policy and applicable data‑protection laws. 7) No client relationship; no professional advice

Using the Chatbot does not create an agency, advisory, fiduciary, or client relationship with Imaginuity. Nothing in the Outputs should be construed as legal, financial, medical, or professional advice. 8) Intellectual property

  • Our IP. The Chatbot, the website, underlying models, software, and all content we originate are protected by intellectual‑property laws. Except for the limited right to use the Chatbot under these Chatbot Terms, no rights are granted to you.
  • Your IP. You retain any rights you hold in your Inputs. By submitting Inputs, you grant Imaginuity a worldwide, royalty‑free license to use, reproduce, display, perform, and create derivative works from your Inputs as necessary to operate, improve, secure, and support the Chatbot and the website, and to comply with law.
  • Feedback. If you provide suggestions, comments, corrections, or other feedback, you grant Imaginuity a perpetual, irrevocable, royalty‑free license to use it without restriction or attribution.

9) Availability; changes; beta features

The Chatbot is provided for convenience and may be modified, suspended, or discontinued at any time, with or without notice. We do not guarantee continuous, error‑free, or secure operation. We may label some functionality as beta or experimental; such features may be less reliable or change more frequently.

10) Disclaimers

THE CHATBOT AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMAGINUITY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF ACCURACY, NON‑INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND TITLE. You are solely responsible for your use of the Chatbot and for any decisions or actions you take based on Outputs.

11) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL IMAGINUITY OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA; OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE CHATBOT WILL NOT EXCEED US $100 OR THE AMOUNT YOU PAID (IF ANY) TO USE THE CHATBOT, WHICHEVER IS GREATER.

12) Indemnification

You will defend, indemnify, and hold harmless Imaginuity and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your Inputs; (b) your misuse of the Chatbot or Outputs; or (c) your violation of these Chatbot Terms or applicable law.

13) Governing law; venue

These Chatbot Terms and any dispute arising out of or relating to them are governed by the laws of the State of Texas, without regard to conflict‑of‑laws rules. Exclusive venue lies in the state or federal courts located in Dallas County, Texas, and you consent to personal jurisdiction there. This aligns with the governing‑law and venue approach used in Imaginuity’s general terms.

14) Export controls

You represent that you are not located in a jurisdiction subject to comprehensive U.S. sanctions and that you will not export, re‑export, or use the Chatbot in violation of U.S. export control or sanctions laws.

15) Termination

We may suspend or terminate your access to the Chatbot at any time and for any reason. Upon termination, the rights granted to you under these Chatbot Terms end immediately, but sections that by their nature should survive (e.g., 4–8 and 10–18) will continue to apply.

16) Changes to these Chatbot Terms

We may update these Chatbot Terms from time to time. When we do, we will update the “Last Updated” date above and post the revised version to the website. Your continued use of the Chatbot after the effective date of changes constitutes acceptance of the revised terms.
